Terms of Service

Effective: 8 June 2026

These Terms of Service ('Terms') form a binding agreement between you (the 'Customer') and ArivioPayRoll ('we', 'us', 'our') governing your access to and use of our payroll software and related services (the 'Service'). By creating an account or using the Service you agree to these Terms.

1. The Service

ArivioPayRoll provides cloud-based payroll software for South African businesses, including PAYE, UIF and SDL calculations, payslip generation, leave management and statutory reporting (EMP201, EMP501, IRP5/IT3(a)). The Service is provided as software-as-a-service and is accessed online.

You are responsible for verifying that all payroll inputs, employee data and statutory submissions are correct. The Service is a tool to assist with payroll administration and does not constitute tax, legal or accounting advice.

2. Accounts and eligibility

You must be at least 18 years old and authorised to act on behalf of your business to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorised use.

3. Free trial and subscriptions

We may offer a free trial period. After the trial, continued use requires a paid subscription on one of our published plans. Subscriptions renew automatically until cancelled. Fees, billing cycles and per-employee pricing are set out on our pricing page and may be updated on notice.

4. Customer responsibilities

You agree to:

  • Provide accurate and complete company and employee information.
  • Use the Service in compliance with all applicable South African laws, including the Income Tax Act, BCEA and POPIA.
  • Review payroll results, exception reports and statutory outputs before relying on or submitting them.
  • Not misuse, reverse-engineer, resell or attempt to gain unauthorised access to the Service.

5. Intellectual property

All rights, title and interest in the Service, including software, design and content, remain ours or our licensors'. You retain ownership of the data you upload. We are granted a limited licence to process your data solely to provide the Service.

6. Limitation of liability

To the maximum extent permitted by law, the Service is provided "as is". We are not liable for indirect, incidental or consequential losses, or for penalties or interest arising from incorrect inputs, late submissions or your reliance on outputs you did not verify. Our total liability in any 12-month period is limited to the fees you paid for the Service in that period.

7. Suspension and termination

We may suspend or terminate access for breach of these Terms, non-payment, or unlawful use. You may cancel at any time as described in our Refund & Cancellation Policy. On termination your right to use the Service ends, and you may export your data for a reasonable period before deletion.

8. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use after changes take effect constitutes acceptance.

9. Governing law

These Terms are governed by the laws of the Republic of South Africa, and the courts of South Africa have exclusive jurisdiction over any dispute.
